4. INFORMATION WE COLLECT

Communication: Twilio, Telnyx, and Bandwidth for SMS, MMS, and voice notifications.
Infrastructure & Monitoring: AWS (S3 for file storage), Redis (for session management), and Sentry (for error tracking).
Maps & Vision: Google Maps (for address lookup) and Google Cloud Vision (for internal data processing).
4.4 Device Permissions

Location Access (Customer App): Our customer app may request permission to access your device's location. This permission is used to detect your approximate location so we can show you the nearest stores or restaurants and improve your ordering experience and delivery tracking. We only access your location while you are using the app for this purpose, and we do not track your location in the background.

Camera Access (Customer App): Our customer app may request permission to access your device's camera. This permission is used solely to let you capture and upload a profile picture. We only access the camera when you actively choose to take a photo, and we do not access or record any camera data in the background.
4.5 Mobile Application Permissions and Data Collection
To provide our services, the Menuonline mobile application may request access to certain features and data on your mobile device. You can manage these permissions at any time in your device settings.
1. Location Data (Foreground Location)
What we collect: The app requests access to your device's precise location (GPS and network-based) and approximate location.
How we use it: We use location data to show you nearby restaurants, calculate distance for food delivery/pickup, estimate delivery times, and match your device with localized services.
When we collect it: This data is only accessed when you are actively using the app (foreground location). We do not collect or track your location in the background when the app is closed.
2. Camera Access
What we collect: The app requests access to your device's camera.
How we use it: The camera is used to let you scan QR codes for table ordering and quick menu access, and to take and upload photos of dishes, menus, or profile pictures directly to the platform.
Storage & Sharing: Photos you take are only uploaded and stored on our secure servers when you explicitly choose to upload them. We do not access, store, or share other images or access the camera stream without your active consent.
3. Photo Library (Photos and Media)
What we collect: Access to your device's photo gallery/library.
How we use it: This allows you to select existing photos of dishes, restaurant covers, or profile pictures to upload to the platform.
Storage & Sharing: We only access the specific images you select and upload. We do not browse or store any other images in your gallery.
4. Account Deletion
Account Deletion (Customer App): You can delete your account at any time directly from the customer app. When you delete your account, your profile and associated personal information are removed from our active systems, except for any information we are required to retain for legal, tax, or accounting purposes.

Service Delivery: To process orders, manage accounts, and facilitate secure payments.
Communication: To send transactional updates (order confirmation, delivery status) and marketing materials (with opt-out options).

6. HOW WE SHARE YOUR INFORMATION
6.1 Sharing with Merchants and Customers
When a Customer places an order, the relevant order details (name, delivery address, phone number, order items) are shared with the Merchant to fulfill the order. The Merchant's privacy practices apply to how they handle Customer data within their own operations.

7. DATA SECURITY AND PAYMENT INFORMATION
Non-Storage of Credit Card Data: We do not store your full credit card number, CVV code, or expiry date on our servers. All card data is entered into a secure field provided by our PCI-compliant third-party partner (**IPOS/Dejavoo**).
What We Store: We only store a highly secure "token" provided by the processor, along with the card brand and the first four and last four digits (e.g., 4111 XXXX XXXX 1111) to help you identify your saved cards. This information cannot be used to perform transactions outside of our secure integration.
Encryption: We use industry-standard TLS (HTTPS) for data in transit.
Passwords: All user passwords are hashed using industry-standard salting and hashing techniques (bcrypt) and are never stored in plain text.
Access Control: Role-based access controls are enforced to ensure only authorized personnel can access account-level data.

Menuonline Corp operates two separate SMS programs: account and service messages (order confirmations, delivery updates, account notifications, agreement and onboarding updates, and customer-support responses), and marketing and promotional messages (offers, discounts, loyalty rewards, and campaigns). Consent for each program is collected separately through its own optional checkbox, and selecting one does not provide consent for the other. Message frequency may vary. Message and data rates may apply. You may opt out at any time by replying STOP to any SMS message you receive. For help, reply HELP or contact us at info@menuonline.com.
Consent to receive SMS messages is not a condition of purchasing any goods or services. Users opt in by actively selecting the applicable optional SMS checkbox on a Menuonline signup page. Each checkbox is unchecked by default.
To stop receiving SMS messages, reply STOP, UNSUBSCRIBE, or CANCEL to any message. After opting out, you will receive one final confirmation message. You will no longer receive SMS messages unless you re-subscribe.

The Platform uses AI features powered by OpenAI. We minimize personal data in such processing and do not use your personal information to train external AI models without explicit consent.

Terms & Conditions for New and Existing Customers
By visiting or using this Site or the Service, you agree on your own behalf, and on behalf of any organization on whose behalf you may act (collectively referred to herein as “you“), to accept and abide by these Terms for each use of and each visit to this Site.

1. Our Services.
The services that we offer through the Site include services that allow you to create, send, and manage email messages (“Emails”) and SMS/text messages (“SMS Messages”) to recipients of your choosing, as well as push notifications through branded mobile applications (collectively, the “Service”).

Subject to these Terms, Menuonline hereby grants you a non-exclusive, limited, non-transferable license during the Term to view the Site and use the Service as permitted by the features of the Service. We reserve all rights not expressly granted herein in the Service and the Menuonline Content (as defined below).

Account.
To use the Service you need to register for an account. Your account is free. Your account gives you access to the Service and functions that we may establish and maintain from time to time. To be eligible for an account you must:

Responsibility.
You are solely responsible for the activity that occurs on your account, and you must keep your account password confidential and secure. Accounts are free, so we encourage you to set up a different account for each user you have. You are also responsible for any account that you have access to, whether or not you authorized the use of that account. You agree that are solely responsible for your interactions with those to whom you send Emails, and you will only send Emails to those people from whom you have consent. You must immediately notify us of any unauthorized use of your accounts.
Compliance with the Canadian Anti Spam Legislation (CASL).
Menuonline role is to facilitate the management of consent settings, not to enforce legislation. It is your responsibility to be compliant with CASL. We help you by setting default functionality and by facilitating obtaining and updating documented express consent and managing rolling expiry dates for implied consent. You are in full control of managing consent for your database; you can update the consent status for all of your contacts in bulk any time, override default settings and disable auto-expiry of implied consent status.
The implied consent provisions described above apply only where permitted under Canada's Anti-Spam Legislation (CASL). Text messages sent to recipients in the United States are sent only with prior express written consent, in accordance with the TCPA and CTIA guidelines.

SMS/Text Messaging Consent and Compliance.
Menuonline provides SMS/text messaging services as part of our platform. We only send SMS messages to recipients who have provided express written consent to receive text messages. We collect and maintain records of all SMS consent obtained through our platform. At the point of opt-in, we clearly disclose the following to recipients: (a) that they are consenting to receive text messages; (b) the types of messages they will receive; (c) message frequency; (d) that message and data rates may apply; and (e) instructions for opting out.
We honor all opt-out requests promptly. Every SMS message we send includes clear opt-out instructions (e.g., "Reply STOP to unsubscribe"). When a recipient replies STOP, UNSUBSCRIBE, or CANCEL, we ensure no further messages are sent to that number unless the recipient re-subscribes.
We do not share, sell, or provide any mobile information, including phone numbers and SMS opt-in data, to any third parties for marketing or promotional purposes. SMS opt-in data and consent information are only used for the purpose of sending the text messages that the recipients have consented to receive.
We do not send SMS messages that: contain content relating to SHAFT categories (Sex, Hate, Alcohol, Firearms, Tobacco/drugs); are unsolicited or sent to individuals who have not opted in; are misleading or deceptive; or violate any applicable federal, state/provincial, or local laws or regulations, including the Telephone Consumer Protection Act (TCPA), Canadian Anti-Spam Legislation (CASL), and any other applicable telecommunications regulations.
SMS messages are charged separately from email credits. SMS credits are purchased on a pay-as-you-go basis at the rates described on our pricing page. Rates may vary based on destination country, carrier, and message length. We reserve the right to change SMS pricing at any time.
SMS Notifications to Account Holders.
When you provide your mobile number during signup or in your account settings, Menuonline Corp ("Menuonline by Nento") may send you text messages including one-time verification codes, account and order notifications, and other service-related messages. If you separately consent, we may also send marketing and promotional messages; that consent is optional and is not a condition of any purchase.
Message frequency varies. Message and data rates may apply. You may opt out at any time by replying STOP to any message; reply HELP or contact 1-888-458-3995 / info@menuonline.com for assistance. Mobile carriers are not liable for delayed or undelivered messages.
Push Notification Services.
We may send push notifications through our branded mobile applications to customers who have installed the app and enabled notifications on their device. Push notifications may include order updates, promotional offers, and service alerts. We ensure the content of all push notifications complies with applicable laws. Users can disable push notifications at any time through their device settings.
Closing Your Account.
Either you or Menuonline may terminate this Agreement at any time and for any reason by giving Notice to the other party. If you provide any information that is untrue, inaccurate, not current or incomplete or use the Service in a way that violates these Terms and Conditions, we have the right to immediately suspend your account and terminate your access to the Service in addition to any other remedies available to us. If you do not use your account for twelve (12) months, we may cancel your account. If we terminate your account for any reason, we will refund you for any Credits you have left. Once terminated, we will permanently delete your account and all the data associated with it, including the Emails you have sent. We may maintain aggregated data from your account that does not include personally identifiable information for statistical purposes.
By using our Service, you represent and warrant that you meet all the requirements listed above.
4. Emailing Content.
When interacting with Menuonline via this Site or the Service, you agree to provide true and accurate information. Further you understand that providing confidential information via email is an unsafe practice. You understand that you are solely responsible for anything that you send to anyone using our Service. purposes.
5. Support.
We provide you support to help you become self-sufficient with the Service. We provide you with support in the form of documentation and videos on the Site, the Menuonline support ticket system and by telephone. You can reach us by clicking on the “Support” tab at the top of the Site. There’s no charge for product support; however, we reserve the right to discontinue support for specific client accounts at our discretion.
6. Product and Consulting Services.
Product Services is for those times when you want us to do some work related to Menuonline rather than do it yourself. Our rate for Product Services is $125 per hour. We also provide consulting services at higher rates. We reserve the right to change our rates at any time.
Information provided through our website, support responses, advice and recommendations from our consultants or any other communications directly or indirectly from Menuonline does NOT constitute legal advice.
7. Monitoring.
We will not monitor or judge the content of information transmitted over the Service, but will investigate if we receive complaints of possible inappropriate use. Menuonline may, at any time and in its sole discretion, make determinations that particular uses are or are not appropriate with or without notice to you, according to the following guidelines.

10. What do I pay for the Service?.
You may buy pre-paid credits to send Email (“Credits“) through our Service, as we describe in detail on the “pricing” page of our Site. The Credits never expire and there are no recurring fees for these Credits. The only exception is that if you do not use your account for twelve (12) months, we may cancel your account and any unused Credits. We may change our pricing at any time by updating the pricing pages of our Site, which will take apply to your next purchase of Credits.
11. How do I pay for the Service?.
You can pay for Credits using any major credit card. We may change which methods of payment we accept at any time.
12. Can I get a refund?.
The amounts you have paid for using the Service are non-refundable if you cancel your account. If we cancel your account, we will refund you for any Credits you have left.
RIGHTS
13. What do we own?.
Except for the content that you provide to us (including, without limitation, contact records, email content and information you collect through the Service) (“Your Content“), all materials included on our Site, the Service and all materials therein or transferred thereby, including without limitation, software, images, text, graphics, illustrations, logos, patents, trade-marks, service marks, photographs, audio, videos, music, and content belonging to other Users (the “Menuonline Content“) (and all intellectual property rights related thereto) are owned by us or our licensors.
14. What do you own?.
We claim no ownership rights over Your Content. Your Content is yours and you retain ownership of Your Content that you upload to the Service. By sharing Your Content through the Service, you agree to allow others to view, edit, and/or share Your Content in accordance with your settings and these Terms and Conditions. You represent and warrant that you either own or have permission to use all of the material that you use in your Emails. We may use or disclose your materials only as we describe in these Terms and our Privacy Policy.
Menuonline respects the privacy of its users. Any personal information which Menuonline collects via this Site or the Service is subject to the Menuonline Privacy Statement which is incorporated by reference into these Terms. We may use and disclose your information according to our Privacy Statement.
Menuonline will not provide access to Your Content to anyone except those employees and contractors of Menuonline who have executed appropriate confidentiality agreements with us or we have your consent.
If we receive a request from a government or regulatory authority to have access to Your Content, we will notify you of the request and seek your consent before we release any of Your Content. We will resist any requests for Your Content and will not release Your Content in response to this type of request without your permission or being required to by a court of competent jurisdiction or the applicable regulatory body.
In the event that we become aware that Your Content has been subject to unauthorized access, use, copying, theft, loss, or use or disclosure in violation of these Terms (a “Breach”), we will notify you promptly and inform you of what took place. You agree that Breaches will be handled in accordance with applicable law, and if we need you to inform members of your Email distribution lists then you will agree to do so promptly and as we direct.
We will retain and use and transmit Your Content in Canada except with your prior written approval or direction (for example, if you choose to send Your Content to individuals outside of Canada). The servers used to provide the Service are located in Canada.
If you have trouble accessing Your Content, Menuonline will assist you to retrieve Your Content on a time and materials basis.

These Terms exempt MenuOnline and its representatives from liability or limit their liability and contain other important provisions. If you do not agree, you may not use the Platform.
2. Our Services
MenuOnline provides a multi-service SaaS platform accessible via web, iOS, Android, Android POS, and Kiosk. Services include Online Ordering, Menu Management, POS, Delivery Management, CRM, SMS & Email Marketing, WiFi Hotspot Management, and Analytics.
3. License
Subject to these Terms, MenuOnline grants you a non-exclusive, limited, non-transferable license during the Term to access the Site and use the Service as permitted by its features. We reserve all rights not expressly granted herein in the Service and all MenuOnline Content.
4. Account Registration & Responsibility
To use the Service you must register for an account. To be eligible you must: (i) be at least eighteen (18) years old and able to enter into contracts; (ii) complete the registration process; (iii) agree to these Terms; and (iv) provide true, complete, and up-to-date contact and billing information.
You are solely responsible for all activity on your account and must keep your password confidential and secure. We encourage separate user accounts at no extra charge. You must immediately notify us of any unauthorized use of your account. By using the Service, you represent and warrant that you meet all of the above requirements.
5. CASL & Anti-Spam Compliance
MenuOnline's role is to facilitate the management of consent settings, not to enforce legislation. It is your sole responsibility to comply with the Canadian Anti-Spam Legislation (CASL), TCPA, GDPR, CCPA, and all applicable anti-spam and privacy laws. We provide tools to manage and document express and implied consent, including rolling expiry dates. Information provided by MenuOnline does not constitute legal advice.
6. Content & Communications
When interacting with MenuOnline, you agree to provide true and accurate information. You are solely responsible for all content you send or publish through the Service, and you must have all necessary permissions from recipients before sending any communications.
7. Support & Consulting
We provide support via documentation, videos, a ticket system, and telephone. Product support is generally included at no additional charge; however, we reserve the right to discontinue support for specific accounts at our discretion.
Consulting and custom product services are billed at our standard rate (currently $125/hour). We reserve the right to change rates at any time. Advice from our staff does NOT constitute legal advice.
8. Monitoring
We will not proactively monitor or judge content transmitted over the Service, but will investigate complaints of inappropriate use. MenuOnline may, at any time and in its sole discretion, determine that particular uses are or are not appropriate, with or without notice.
9. Term & Account Closure
The Term begins when you sign up and continues as long as you use the Service. Either party may terminate this Agreement at any time with Notice. We may immediately suspend or terminate your account if you provide untrue information or violate these Terms. If your account is inactive for twelve (12) months, we may cancel it. Upon termination, we will permanently delete your account and all associated data. We may retain aggregated, non-identifiable data for statistical purposes.
10. Changes to the Service or Terms
We reserve the right to modify or discontinue the Service, or update these Terms, at any time. Your continued use of the Service after changes constitutes your acceptance of the revised Terms.
PAYMENT
11. Pricing & Credits
You may purchase pre-paid credits ("Credits") to use the Service as described on our pricing page. Credits never expire unless your account is inactive for twelve (12) months. Subscription plan fees are billed on a recurring basis and are generally non-refundable. Overdue amounts may incur 1.5% monthly interest. We may update our pricing at any time by updating the pricing pages of our Site.
12. Payment Processing
You may pay using major credit cards. Our platform integrates with third-party processors including Stripe and IPOS (Dejavoo). Use of these payment features constitutes acceptance of their respective terms and conditions. MenuOnline does not store full credit card details on our servers; all transactions are handled securely by PCI-compliant third-party partners through tokenization. We may change or add accepted payment methods at any time.
13. Refunds
Amounts paid for using the Service are non-refundable if you cancel your account. If MenuOnline cancels your account, we will refund any unused Credits you have remaining.
RIGHTS
14. What MenuOnline Owns
Except for Your Content, all materials on the Platform — including software, images, text, logos, patents, trademarks, service marks, photographs, audio, and video ("MenuOnline Content") — are owned by MenuOnline or our licensors. All intellectual property rights related thereto are reserved.
15. What You Own
We claim no ownership over Your Content (contact records, order data, uploaded media, etc.). You retain full ownership of Your Content and grant us a limited license to use it solely to provide the Service. We may use or disclose your materials only as described in these Terms and our Privacy Policy.
MenuOnline will not provide access to Your Content to anyone except employees or contractors who have executed appropriate confidentiality agreements. If we receive a government or regulatory request for Your Content, we will notify you and resist such requests unless ordered by a court of competent jurisdiction or applicable regulatory body.
In the event of a data breach (unauthorized access to Your Content), we will notify you promptly and handle the situation in accordance with applicable law. Your Content will be retained and processed in Canada unless you direct otherwise.
RULES AND ABUSE
16. Reporting Abuse
If you believe anyone is violating these Terms — including suspected spam, copyright infringement, or other misuse — please notify us immediately at info@menuonline.com.
17. Acceptable Use
You represent and warrant that your use of the Service complies with all applicable laws and regulations. You agree that you (and your employees, agents, and authorized users) shall NOT:
– Use the Service to spam or send unlawful, harmful, abusive, harassing, defamatory, or otherwise objectionable content.
– Use the Service for gambling, debt collection, pharmaceuticals, or adult content industries.
– Modify, reverse engineer, decompile, or create derivative works from the Platform.
– Upload viruses, worms, or any code that interferes with the proper working of the Service.
– Send communications without having all necessary permissions and consents from recipients.
18. Export Laws
We make no representation that the Service is appropriate or available for use outside of Canada. You may not export or re-export MenuOnline Content in violation of any applicable laws, including Canadian and U.S. export laws. If you access the Site from outside Canada, you do so at your own risk and are responsible for compliance with applicable local laws.
LIABILITY
19. Disclaimers
THE SERVICE AND SITE ARE PROVIDED "AS IS" WITHOUT ANY REPRESENTATIONS, WARRANTIES, OR CONDITIONS OF ANY KIND. MENUONLINE EXPRESSLY DISCLAIMS, TO THE FULL EXTENT PERMISSIBLE BY LAW, ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES. WE MAY PERFORM UPGRADES AND PATCHES AT ANY TIME WITHOUT NOTICE.
20. Limitation of Liability
MenuOnline's aggregate liability under this Agreement, whether in contract, tort (including negligence), breach of warranty, or otherwise, will be limited to direct damages not exceeding the total fees paid by you in the twelve (12) months immediately prior to the event giving rise to liability.
None of MenuOnline, its affiliates, or their respective directors, officers, employees, agents, or representatives ("MenuOnline Representatives") will have any liability for: (i) any indirect, consequential, incidental, exemplary, punitive, or special damages; or (ii) damages characterized as lost revenue, lost savings, or lost profits — even if MenuOnline has been advised of the possibility of such damages or loss.
21. Indemnity
You agree to indemnify and hold MenuOnline and its Representatives harmless from any claims, fines, or penalties brought by third parties arising from your use of the Service, breach of these Terms, or unauthorized use of content sent through the Service.
MenuOnline will defend, indemnify, and hold you harmless against third-party claims alleging that your use of the Service infringes Canadian intellectual property rights, provided MenuOnline has sole control over the defense. If the Service is found infringing, MenuOnline will, at its expense, procure your right to continue using it, or modify it to be non-infringing without adversely affecting its functionality. These indemnities survive termination of this Agreement.
22. Equitable Relief
If you violate these Terms, MenuOnline may seek injunctive relief or other equitable relief in addition to any other rights available at law or in equity.
23. Links to Other Websites
Any links to third-party websites are provided for convenience only. We do not control or endorse those sites and are not responsible for their content. You visit any linked site at your own risk.
24. Third-Party Requests
If we are required to provide information in response to a legal or government request relating to your account, you agree that we may charge you for our reasonable costs, including legal fees and employee time incurred in preparing the response.
GENERAL TERMS
25. Assignment
This Agreement and any rights granted hereunder may not be transferred or assigned by you, but may be assigned by MenuOnline without restriction, upon reasonable advance notice to you.
26. Governing Law
These Terms are governed by and construed in accordance with all applicable federal laws and the laws of Ontario, Canada, without regard to conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts of Ontario for any dispute arising under these Terms.
27. Severability
If any provision of these Terms is found unlawful or unenforceable, it will be enforced to the maximum extent permissible, and the remainder of these Terms will remain in full force and effect.
28. Waiver
Our failure to exercise any right under these Terms will not operate as a waiver of those rights. Any waiver must be in writing and signed by us to be effective, and only for the specific instance and purpose for which it was given.
29. Further Assurances
Each party agrees to sign all documents and take any actions necessary to meet their obligations under these Terms and Conditions.
30. Notices
All notices to MenuOnline must be in writing and sent to info@menuonline.com. Notices to you may be sent to the address or email provided during registration. We may also broadcast notices through the Site. Notices received after 5 pm or on non-business days are deemed received the next business day.
31. Entire Agreement
These Terms and our Privacy Policy constitute the entire agreement between you and MenuOnline regarding use of the Service, superseding all prior agreements. In case of conflict, these Terms govern over the Privacy Policy. Where specific products or services are governed by Additional Terms, those Additional Terms will govern with respect to those products or services.
32. Language
The parties have expressly requested that these Terms and all related documents be drafted in English. Les parties conviennent et exigent expressément que ce Contrat et tous les documents qui s'y rapportent soient rédigés en anglais. The English version takes priority in the event of any conflict with a translated version.
33. Survival
All provisions of these Terms that by their nature are intended to survive expiration or termination shall survive, including without limitation, Sections 14, 15, 20, 21, and 26 (Rights, Liability, Indemnity, and Governing Law).
